Quick answer

A settlement agent is a licensed professional who handles the settlement of a property or business sale: preparing and checking documents, calculating adjustments, coordinating with lenders and lodging the transfer. The term is mainly used in Western Australia, where settlement agents are licensed by Consumer Protection under the Settlement Agents Act 1981. In other states the same work is usually done by a conveyancer or solicitor.

Key points

  • Mainly a Western Australian title, licensed under the Settlement Agents Act 1981
  • WA licences cover real estate settlements and business settlements
  • Elsewhere in Australia, conveyancers and solicitors fill the same role
  • Works with your lender to make sure loan funds and security are ready on the day

If you’re buying a warehouse in Welshpool or a café in Bunbury, the person running your settlement is probably called a settlement agent. Cross the border into South Australia or the eastern states and the same job usually falls to a conveyancer or a solicitor. The work is similar; the name, and the licence behind it, are very Western Australian.

What does a settlement agent do?

A settlement agent takes a signed contract and gets it to completion. Typical tasks include:

  • Searching the title and checking for mortgages, caveats or other interests
  • Calculating rates, water and other adjustments between buyer and seller
  • Preparing transfer documents and arranging duty to be paid
  • Liaising with each party’s lender over loan funds, discharges and new security
  • Attending settlement, now usually in an electronic workspace, and lodging documents for registration

Consumer Protection WA licenses settlement agents under the Settlement Agents Act 1981. Applicants have to meet character, qualification and financial requirements, and licensees complete ongoing professional development. A WA legal practitioner can also act in settlements under their practising certificate.

Real estate vs business settlement agents

WA separates two kinds of licensed activity, which matters for anyone borrowing to buy a business. Consumer Protection’s guidance also says a business settlement agent can’t act for more than one party in a deal unless every party agrees.

Real estate settlement agent Business settlement agent
Handles Sales of land and buildings Sales of a business as a going concern
Key documents Transfer of land, mortgage, discharge Sale of business contract, transfer of leases, licences and services
Extra tasks Rates and water adjustments Arranging transfer of utilities and facilities, checking outgoings, paying duty under the Duties Act 2008

A business purchase often needs both: a business settlement for the goodwill and equipment, and a real estate settlement if freehold premises are part of the deal.

Why settlement agents matter to your lender

Lenders don’t release funds on trust. Before settlement, the buyer’s lender needs signed loan documents, every condition in its letter of offer satisfied and its security ready to register. The settlement agent is the one chasing those pieces and booking a time that works for everyone.

When something slips, such as a valuation coming in low or the bank wanting another month of statements, the agent is usually the first to know. If that happens, our page on a settlement that’s about to fall over explains short-term options like bridging finance.

If you’re in WA and your settlement date is getting close without finance locked in, send us the details now.

Worked example: a financed café purchase in Bunbury

A buyer agrees to purchase a café business for $340,000, excluding premises, with a new five-year lease. They have $120,000 saved and need $220,000 through a business acquisition loan.

The buyer appoints a business settlement agent, who:

  1. Checks the PPSR for any security interests over the café’s equipment
  2. Gets written sign-off from the landlord for the lease to pass to the buyer
  3. Sends the lender the contract and settlement date
  4. Calculates stock-at-valuation adjustments on the day
  5. Pays duty, coordinates funds and settles

Because the lender’s conditions included a signed lease and a clear PPSR search, the agent’s work is what lets the money move.

Buying a business or property with finance?

A good settlement agent can only settle on time if your funding is ready. If you’re still sorting out the loan, or your bank needs longer than the contract allows, we can look at alternatives.

Give us the purchase price, settlement date and what you can offer as security. It’s a one-minute form, with no hit to your credit history for asking. You’ll speak with a single person on our team who has read your situation, not a stream of callers. The more exact the dates and numbers, the easier it is to line up something that settles on time.

Frequently asked questions

Is a settlement agent the same as a conveyancer?

They do much the same job. Western Australia uses the term settlement agent and licenses them through Consumer Protection; most other states use conveyancer. A WA lawyer can also act in settlements without holding a separate settlement agent licence.

Do I need a settlement agent to buy a business in WA?

It isn't compulsory, but a business settlement agent can handle documents, arrange the transfer of business services, deal with duty and coordinate settlement with your lender. For a financed purchase it usually makes the process smoother.

Can one settlement agent act for both buyer and seller?

Under the WA rules, a business settlement agent may not act for more than one party unless all parties consent. Many buyers prefer their own agent anyway, so someone is focused only on their interests.

How do I check a settlement agent is licensed?

Consumer Protection WA keeps a public licence search on its website. Check the individual and, where relevant, the firm's licence before you sign anything.

What does the settlement agent need from my lender?

Confirmation that the loan is formally approved, the lender's settlement contact, the amount it will advance and its document requirements. Delays usually come from conditions the lender hasn't yet marked as satisfied.
